Terms of Service

These Terms of Service (the "Terms") govern your access to and use of this website and any services provided by Health Experts Reliance Organization LLC, a Florida limited liability company doing business as H.E.R.O. ("H.E.R.O.," "we," "us," or "our"), located at 6424 N Armenia Ave, Tampa, FL 33604, United States.

By visiting this website, requesting a proposal, or engaging H.E.R.O. for services, you agree to these Terms. If you do not agree, do not use this website or our services.

1. Who we are and what we provide

H.E.R.O. is a business support and management services company. We provide administrative and back-office operations, consulting and advisory services, marketing services, and software development and support services to healthcare businesses, including home health agencies, medical practices, and wellness clinics.

We are not a healthcare provider. H.E.R.O. does not provide medical care, medical advice, diagnosis, or treatment, does not employ clinicians to render care to your patients, and is not a substitute for professional medical judgment. Nothing on this website constitutes medical, legal, tax, or accounting advice.

2. Business clients only

Our services are offered to businesses and business owners, not to consumers or individual patients. By engaging us, you represent that you are acting on behalf of a business entity and that you have authority to bind that entity to these Terms and to any service agreement.

3. Service agreements and scope of work

No work begins until both parties have agreed in writing to a scope of work, proposal, or service agreement (each, an "Agreement"). The Agreement controls what services are provided, the fees, and the billing schedule.

• If any term of an Agreement conflicts with these Terms, the Agreement controls for that engagement.
• Work outside the written scope is not included and will be quoted separately before it is performed.
• Estimated timelines are good-faith estimates and depend on your timely provision of access, information, and approvals.

4. Fees, invoicing, and payment

• All fees are quoted and payable in United States Dollars (USD).
• H.E.R.O. bills by electronic invoice sent to the billing contact you provide. We do not charge a payment method without an Agreement in place authorizing that charge.
• Payments are processed by Stripe, Inc. We accept major credit and debit cards and ACH bank transfers. H.E.R.O. does not store your full card or bank account numbers.
• Retainers are billed monthly in advance, on the first business day of the service month, and recur until cancelled under Section 5.
• Project fees are billed as a deposit at signing with the balance due at the milestones stated in the Agreement.
• Pass-through costs (software licenses, supplies, advertising spend, and similar third-party items purchased on your behalf) are billed at cost and itemized on the invoice.
• Unless the Agreement states otherwise, invoices are due Net 15 from the invoice date.
• Amounts unpaid after 15 days past due may accrue a late fee of 1.5% per month (or the maximum permitted by law, whichever is less), and we may suspend services after written notice until the balance is cured.
• Fees are exclusive of applicable taxes. You are responsible for any sales, use, or similar taxes other than taxes on our income.

Charges from H.E.R.O. appear on your card or bank statement as HERO HEALTH EXPERTS.

5. Term, cancellation, and refunds

Retainer engagements continue month to month and may be cancelled by either party with 30 days' written notice. Project engagements end on delivery of the agreed scope. Full cancellation and refund terms, including how to request a refund, are set out in our Refund & Cancellation Policy, which is incorporated into these Terms.

6. Your responsibilities

To deliver our services, we depend on you. You agree to:

• Provide accurate, complete information and timely responses, approvals, and access to systems we need;
• Maintain your own licenses, certifications, insurance, and regulatory compliance — H.E.R.O. supports your operations but does not assume your licensure or clinical obligations;
• Hold and pay for your own third-party subscriptions where the Agreement says you will;
• Not use our services for any unlawful purpose or in a way that would cause us to violate any law or third-party agreement.

Delays caused by missing information, access, or approvals do not relieve you of payment obligations.

7. Confidentiality

Each party will keep the other's non-public business information confidential and use it only to perform or receive the services. This obligation survives termination. It does not apply to information that is public through no fault of the receiving party, was already lawfully known, or must be disclosed by law.

8. Protected health information

Our services are administrative and operational. Where an engagement would require H.E.R.O. to create, receive, maintain, or transmit protected health information ("PHI") on your behalf, the parties will execute a Business Associate Agreement under HIPAA before any PHI is exchanged. You agree not to transmit PHI to us outside the channels designated in that agreement, and never by unsecured email or through this website.

9. Intellectual property

• This website and its contents are owned by H.E.R.O. and protected by applicable law.
• Work product created specifically for you under an Agreement transfers to you upon full payment of all amounts due for that engagement.
• H.E.R.O. retains ownership of its own pre-existing materials, templates, frameworks, tools, and know-how, and may reuse them. Where such materials are embedded in your deliverables, you receive a perpetual, non-exclusive license to use them as part of those deliverables.

10. Third-party services

We use and may procure third-party platforms on your behalf (for example EMR and practice management systems, payroll processors, advertising platforms, and hosting providers). Those services are governed by their own terms, and we are not responsible for their availability, performance, pricing changes, or acts and omissions.

11. Disclaimers

Except as expressly stated in an Agreement, our services are provided "as is." We do not warrant any specific business outcome, revenue result, marketing result, reimbursement result, or regulatory approval. We disclaim all implied warranties, including merchantability and fitness for a particular purpose, to the fullest extent permitted by law.

12. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. H.E.R.O.'s total aggregate liability arising out of or relating to the services is limited to the amounts you paid to H.E.R.O. under the applicable Agreement in the three (3) months immediately preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless H.E.R.O. and its members, officers, and personnel from third-party claims arising out of your business operations, your clinical or professional services, your violation of law, or your breach of these Terms or an Agreement.

14. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. The parties agree to attempt in good faith to resolve any dispute through direct discussion within 30 days. Any dispute not so resolved will be brought exclusively in the state or federal courts located in Hillsborough County, Florida, and each party consents to that jurisdiction and venue.

15. Changes to these Terms

We may update these Terms. The effective date at the top of this page reflects the most recent version. Material changes affecting an active engagement will be communicated to your billing contact. Continued use of our services after an update constitutes acceptance.
